Question about proxy voting

Let's say, just for pretends, did THAT I own a large block of voting stock in XYZ Gun company.

 

There is a stockholders meeting coming up where they will vote on whether or not to get out of the gun business.

 

I will not be able to go to the meeting.

 

Hardpan is going to the meeting, so I give him my proxy.

 

Does he have to vote my 500,000 shares the way I want them voted - NOT JUST NO BUT HELL NO - or can he vote them however he wants to, because he's there and I'm not?

On the other hand, most companies are now doing proxy votes electronically, where the share owner votes without being present.  You vote for yourself; you just don't have to be at the meeting.  For security reasons, they are using third party electronic voting members to administer it.  I do this all the time with my stocks.

The last time I looked at the paperwork for a proxy ballot it had 3 options. 

 

Assign my proxy to someone to vote as they please

Assign my proxy to someone to vote no.

Assign my proxy to someone to vote yes.

 

On the first option I had to name the person.  I don't think there was a name for the last 2.  I assumed they just knew people who were going to vote each way and would give it to them.  But maybe it was electronic votes like Cyrus said.
